Terms of Service for LedgerFlow

These Terms govern access to and use of LedgerFlow, including the web app, support channels, and related services. By using LedgerFlow, you agree to these Terms.

1. Scope and acceptance

These Terms apply to your access to and use of LedgerFlow, including any trial, paid subscriptions, APIs, integrations, support channels, and WhatsApp Business messaging features. If you use LedgerFlow on behalf of a business, you represent that you have authority to bind that business.

2. Accounts, eligibility, and responsibilities

  • You are responsible for all activity under your account and for keeping credentials secure.
  • Provide accurate business and contact information and keep it up to date.
  • Ensure your staff follow your internal policies when using the platform.

3. Compliance and permitted use

  • You must comply with applicable laws, regulations, and industry rules.
  • You are responsible for lawful collection and use of customer data, including consent for messaging.
  • You must honor opt-out requests and maintain accurate records for messaging permissions.

4. Meta WhatsApp Business services

LedgerFlow may enable messaging through the Meta WhatsApp Business Platform. Your use of WhatsApp Business services is subject to Meta’s applicable terms and policies, including WhatsApp Business Terms and Messaging Policies. You are responsible for obtaining required opt-ins, sending approved message templates where required, and honoring opt-outs. Meta may review, limit, or disable access to WhatsApp services at any time. We may suspend or bar WhatsApp access if we believe there is misuse, fraud, or policy violations.

5. Acceptable use

You agree not to:

  • Use LedgerFlow for illegal, fraudulent, or harmful activities.
  • Attempt to disrupt or compromise security, performance, or availability.
  • Reverse engineer or misuse the system beyond documented features.
  • Send spam, deceptive content, or prohibited content through messaging channels.

6. Data ownership and privacy

You own the business data you upload (including products, customers, and sales). You grant LedgerFlow a limited license to process that data solely to provide and improve the Services. 7. Integrations and third parties

LedgerFlow may connect to third-party services (e.g., payment gateways or messaging providers). Their terms and policies apply to your use of those services, and we are not responsible for third-party availability or actions.

8. Intellectual property

LedgerFlow, its software, and branding are protected by intellectual property rights. These Terms do not grant you ownership of LedgerFlow or its trademarks.

9. Confidentiality

Both parties may receive confidential information. Each party agrees to protect confidential information and use it only to perform obligations under these Terms.

10. Subscriptions, trials, and billing

LedgerFlow plans, pricing, and feature limits are described on our pricing page or in your written agreement. We may offer trials or introductory plans. Taxes and government charges may apply where required.

11. Suspension, termination, and misuse

We may suspend, restrict, or terminate access if these Terms are violated, if we detect misuse or security risks, or to protect the platform and its users. This may include blocking WhatsApp messaging, disabling integrations, or barring specific users or numbers. You may cancel your subscription according to your plan terms. Upon termination, you are responsible for exporting your data.

12. Indemnification

You agree to indemnify and hold LedgerFlow harmless from claims, damages, and expenses arising from your use of the Services, your data, your messaging content, or your breach of law or third-party policies (including Meta WhatsApp policies).

13. Disclaimer and limitation of liability

LedgerFlow is provided “as is” and “as available.” To the fullest extent permitted by law, we disclaim warranties and limit liability for indirect or consequential damages. Our total liability is limited to fees paid for the Services over the prior period as allowed by law.

14. Changes to these Terms

We may update these Terms from time to time. We will update the “Last updated” date and provide notice where required.

15. Governing law and contact

These Terms are governed by the laws of Seychelles unless your agreement specifies otherwise. If you have questions, contact us via the support page.
